Observance of corporate formalities is necessary to maintain the protections and advantages that the corporate form offers in the way of shielding shareholders against personal liability for obligations incurred by the corporation. We structure board meetings and facilitate an agenda with meeting minutes that are appropriate for the company.

CORPORATE COMPLIANCE AND ETHICS. Businesses are expected to operate within the limits of the law. We develop a system of policies and procedures that are appropriate for the company to detect and prevent wrongdoing. The company's program will promote an organizational culture that encourages ethical conduct and a commitment to compliance with the law.

GENERAL BUSINESS CONTRACTS. Corporations enter into a variety of business contracts that contain language that may be inapplicable, inappropriate, or disadvantageous. We develop standard contracts that are appropriate for the company to offer. We also review and make recommended changes to contracts that are offered to the company.

EMPLOYMENT PRACTICES. Proactive handling of employment issues is as essential to a corporation as having enough background, exposure, and understanding to recognize the issues. We develop employment agreements, policies, and processes that serve to avoid the pitfalls common in any human resources function.

INTELLECTUAL PROPERTY. Most companies have intellectual property in the form of copyrights, trade secrets, trademarks, or patents.  We identify corporate intellectual property and take action to protect the corporation's rights to it. When it comes to licensing intellectual property to others, we draft agreements geared toward maximizing the value to the corporation.

LITIGATION. Some litigation may require retention of outside counsel. We are responsible to the corporation for identifying, selecting, managing, and evaluating the services provided by outside counsel. We collaborate with outside counsel on the corporation's expectations and goals and develop a cost effective means of achieving them.
